Terms of Service

These Terms of Service ("Terms") govern your use of the Lead Torque LLC website at leadtorque.ai and the Lead Torque platform (the "Service"). By using the Service you agree to these Terms; if you do not agree, do not use the Service.

The Service

Lead Torque provides an AI-powered sales-assistant platform that messages used-car buyers over Facebook Messenger and SMS on behalf of independent used-car dealerships. The Service is provided to dealerships ("Customers"); the dealership is responsible for its own communications, consent, and compliance.

Acceptable use

You agree not to misuse the Service, attempt to disrupt or reverse-engineer it, or use it for unlawful, deceptive, or unsolicited messaging. Customers are responsible for obtaining valid consent before messaging consumers, honoring opt-outs, and complying with the TCPA, CAN-SPAM, carrier and 10DLC requirements, Meta's Platform and Messenger policies, and applicable state and federal law.

Consumer interactions

Consumers interact with the dealership through the Service. Some messages are generated or assisted by AI; a human team member oversees the conversation and can step in at any time. Vehicle availability, pricing, and offers are provided by the dealership and may change.

Billing

Subscription fees, where applicable, are billed as agreed with the Customer. Plans may be changed or canceled in accordance with the Customer's agreement.

Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content will be accurate or suitable for any particular purpose.

Limitation of liability

To the maximum extent permitted by law, Lead Torque LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim will not exceed the amounts paid to us for the Service in the three months preceding the claim.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New Jersey.
